Branding & Credit
Client acknowledges that the file was designed by Tsunami by Design LLC
Credit or logo placement (if included within the file) must remain intact unless otherwise agreed upon in writing.
Acceptance
By submitting payment or receiving the digital file, the Client acknowledges full understanding and acceptance of the terms outlined in this agreement.
Ownership & License
The Designer retains full ownership and intellectual property rights to the original file design, layout, and formatting.
The Client is granted a single-use, non-exclusive, non-transferable commercial license to use the file internally within their business operations.
The Client may not resell, redistribute, sublicense, or publicly share the Digital Asset in whole or in part without written permission from the Designer.
If the Client wishes to use the file across multiple businesses, franchises, or for resale, an extended license may be negotiated separately.
Modifications & Technical Use
The Client may modify the spreadsheet for internal use only (e.g., updating formulas, text, or color formatting).
Designer is not responsible for functionality issues resulting from unauthorized edits, reformatting, or external integrations post-delivery.
Confidentiality
All proprietary formulas, design structure, and brand methodologies embedded in the Digital Asset remain confidential.
The Client agrees not to disclose, duplicate, or reproduce any portion of the file beyond their internal operational use.
Liability & Disclaimer
The Digital Asset is provided “as-is” for professional use.
Designer makes no guarantees regarding performance beyond the scope of Excel’s native functionality.
Designer shall not be held liable for any loss, error, or data corruption arising from improper use, alteration, or technical malfunction.
